Job Description

Reviews, drafts and negotiates commercial agreements for the Company’s Midstream Business, including: transportation (pipeline, rail, trucking and marine), terminalling and storage agreements for crude oil, refined products, natural gas, natural gas liquids (“NGL”) and alternative fuels; crude and natural gas gathering and processing agreements; NGL fractionation and purchase agreements; related rail agreements (railcar leases and storage agreements); and other industry-specific agreements. Handles legal and contractual aspects of international logistics operations related to the foregoing, including maritime/admiralty aspects. Assists with, and in some cases, manages M&A, joint venture and other strategic transactions for the Midstream Business, including due diligence, drafting, reviewing and negotiating purchase and sale and joint venture agreements, as well as related transactional documents. Assists and advises the Midstream Business’ business development group in its day-to-day activities, including overall commercial strategy and operational and administrative planning. Work collaboratively with attorneys and staff who support the Company’s business development teams and related transactions. Analyzes legal, regulatory and compliance issues affecting the Company and the Midstream Business, including federal (FERC), state and local tariff related issues, and educates management on areas of risk and possible legal exposure in these areas. Gives assistance to, coordinates with and manages outside counsel on legal matters involving the Midstream Business and with disputes, litigation, regulatory or administrative hearings relating to such matters. Provides legal advice, counsel, negotiation assistance, coordination and representation on other Midstream Business matters as needed, including procurement-related supply and service contracts, EPC and other project construction agreements, as well as pipeline-related rights of way, easements and real estate purchase and sales agreements. Provides legal advice and coordination regarding Company’s Code of Business Conduct, Company policies and procedures and legal/regulatory compliance applicable to the Midstream Business Segment. Assists in developing policies, procedures and contract forms for the Midstream Business Unit and the Company in general, and conducts presentations, publishes information and participates in other activities to educate Company officers and employees as to the Company’s Code of Business Conduct, Company policies and procedures, and legal and regulatory compliance requirements. Keeps abreast of legal, regulatory and compliance developments, as well as economic and social issues, as they pertain to the Company generally and the Midstream Business Unit specifically. Consults with, advises, and provides legal guidance to Company and Midstream Business Unit management and personnel regarding all of the foregoing.
