Job Purpose

Provide high level professional expertise, support and advice on legal issues related to commercial aspects of the Abadi LNG Project and other INPEX-operated oil and gas projects (each, a Project), including matters pertaining to: (i) LNG and/or natural gas sales and purchase agreements and related contracts; (ii) financing of Project facilities; and (iii) Project development agreements.

Main Responsibilities

Provide all relevant Departments and Teams with advice, counsel and support in connection with the negotiation, drafting, implementation and interpretation of:

Agreements pertaining to the marketing of LNG and natural gas produced by a Project, including sales and purchase agreements, gas supply agreements, seller appointment agreements, contract implementation procedures, pipeline transportation agreements, and LNG vessel charter parties;

Agreements pertaining to the financing of Project facilities, including term sheets, loan agreements, trustee and paying agent agreements and producers agreements; and

Agreements between INPEX and its partners and the Government of Indonesia pertaining to development and implementation of a Project, such as memoranda of understanding, principles of agreement, and LNG development agreements; and

Other commercial agreements and instruments pertaining to or arising out of a Project.

Provide all relevant Departments and Teams with advice, counsel and support in connection with the review, implementation and interpretation of commercial agreements pertaining to non-operated oil and gas projects in which INPEX holds a participating interest.

Provide high level professional expertise and advice to ensure all INPEX agreements are in compliance with: (i) applicable laws, regulations and guidelines, including PTK-007 (as revised); (ii) INPEX policies, guidelines and procedures; and (iii) the highest professional standards.

Monitor, review, update and advise all relevant Departments and Teams regarding current Indonesian laws, regulations and guidelines applicable to INPEX activities.

Assist Senior Manager – Legal and Chief Counsel – Commercial in the process of engaging outside counsel for Project-related matters and in assessing the performance of such counsel.

Job Qualifications

Bachelor’s degree in Law (Masters or other advanced post-graduate degree in Law preferred)

Minimum 10 years of experience as a lawyer, with at least 8 years of legal experience in the oil and gas industry, with a focus on negotiation, drafting, implementation and interpretation of commercial agreements

International experience/ background preferred

Fluent in English both spoken and written, with a strong ability to draft legal documents in English.

Certified under PTK 007 (latest revision)
